These Terms of Use govern your use of ribo.hair and the RiboHair Business Portal (the "Site"), operated by Ribodex LLC ("Ribodex," "we," "us"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Purpose of the Site

The Site provides information about RiboHair™ for businesses in the United States and lets approved businesses order products. Purchases are governed by our Terms of Sale and Shipping Policy.

RiboHair™ is sold only to approved businesses and performed by their trained staff. Ribodex does not sell to, treat or advise consumers. If you are a consumer, please speak with your provider. To report a concern about a RiboHair™ product or service, contact us at sales@ribo.hair or 800-852-0924.

Eligibility

You must be at least 18 years old and located in the United States to use the Site.

No Medical Advice

RiboHair™ is a cosmetic product. It is not intended to diagnose, treat, cure or prevent any disease. Site content is for general information only and is not medical advice. Case studies and before-and-after images show individual results, which vary.

Provider Accounts and Verification

5.1 Business accounts

Portal access is available only to businesses we approve. Accounts are issued to a business, not to an individual. The person who registers confirms that they are authorized to act for and bind the business.

5.2 Required documents

To register, you must upload:

your business license or business registration; and

every operating license, permit and registration that your city, county and state legally require for your business to operate.

We may request additional information to verify your business. We use uploaded documents to review your application and maintain your account, as described in our Privacy Policy.

5.3 Access levels

Until we approve your documents, your access is limited to your application and account status. Full access, including wholesale pricing, ordering, protocols and training materials, begins only after (a) we approve your documents and (b) you sign the Non-Exclusive Reseller Agreement presented in the RiboHair Business Portal after you log in. We may approve or decline any application at our discretion.

5.4 Keeping documents current

You must keep your licenses and permits valid and your uploaded copies current, and upload renewals before they expire. You must notify us within 5 business days if any license or permit expires or is suspended, revoked or restricted. We may limit or suspend access until current documents are on file.

5.5 Your compliance

Our review of your documents is for account approval only. It is not legal advice or a determination that your business, staff or services comply with the law, including scope-of-practice rules. You remain solely responsible for that compliance.

5.6 Authorized users and security

You will name your authorized users, keep that list current and remove access for anyone who leaves your business. You are responsible for keeping login credentials secure and for all activity under your account. Information you provide must be accurate and current. Account access, pricing, protocols and materials may not be transferred to another business. We may suspend or close any account at our discretion.

5.7 Agreement controls

If the Non-Exclusive Reseller Agreement conflicts with these Terms, the Agreement controls for the matters it covers.

Acceptable Use

You may not:

use the Site for any unlawful purpose;

access or attempt to access accounts or areas you are not authorized to use;

upload documents or information that are false, altered or not your own;

copy, scrape or harvest Site content or data by automated means;

frame, mirror or republish Site content;

register or use any domain name, social media handle or business name that contains RiboHair, Ribodex or a confusingly similar term;

interfere with the Site's security or operation; or

share portal pricing, protocols or materials with anyone outside your business.

Intellectual Property

The Site and its content, including text, images, videos and the Ribodex™ and RiboHair™ names and logos, are owned by or licensed to Ribodex. You may view and use the Site for its intended purpose only. Any other use requires our written permission. Use of the Site does not grant any license, express or implied, to Ribodex technology, any patent application or the Ribodex™ and RiboHair™ marks.

Information and Content You Submit

You are responsible for the information you submit through the Site, including provider applications and business documents. If you send us feedback or suggestions, we may use them without obligation to you.

If you submit photos, videos, testimonials or case information, including before-and-after images, you grant Ribodex a non-exclusive, royalty-free, worldwide, perpetual license to use, copy, edit and display them in Ribodex marketing and materials, including materials used by Ribodex's distributors and providers. You confirm that each person shown or described has given written consent covering that use, and you will keep that consent on file and provide it on request. Submit only images and information that do not include a client's name or medical records. If a client withdraws consent, tell us and we will stop new uses of that content within a reasonable time.

Investor Inquiries

The Site may allow you to submit contact information to inquire about Ribodex. Submitting an inquiry does not make you an investor or entitle you to receive any information. Nothing on the Site is an offer to sell or a solicitation of an offer to buy any security. Any offering will be made only to qualified persons through definitive offering documents.

Pricing and Revenue Examples

Pricing, revenue examples and the revenue calculator are illustrative and based on stated assumptions. They are not a promise of revenue, profit or results for any business.

Third-Party Services and Links

The Site may link to or rely on third-party services, such as our payment processor. We are not responsible for third-party sites or services, which are governed by their own terms.

Communications

By providing an email address or phone number, you agree that we may contact you about your application, account, orders and the Site. We send marketing text messages only with your separate consent. You may opt out of marketing messages at any time.

Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ITS CONTENT IS COMPLETE OR CURRENT.

Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, RIBODEX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY ARISING FROM USE OF THE SITE WILL NOT EXCEED $100. Liability for product purchases is governed by our Terms of Sale.

Indemnification

You will defend, indemnify and hold Ribodex harmless from claims arising from your misuse of the Site, the information or content you submit, or your violation of these Terms.

Governing Law and Disputes

These Terms are governed by Nevada law. Any dispute will be resolved by binding arbitration in Las Vegas, Clark County, Nevada, under the Commercial Arbitration Rules of the American Arbitration Association, on an individual basis. Either party may instead bring an individual claim in small-claims court if the claim qualifies. Either party may seek injunctive relief in court to protect intellectual property or confidential information.

Changes

We may update these Terms at any time. When we do, we will post the updated Terms on the Site with a new effective date and notify provider account holders by email or through the RiboHair Business Portal. Updated Terms take effect when posted unless the notice says otherwise. Continued use of the Site after an update means you accept the updated Terms. Updates do not apply to disputes that arose before the update took effect.
