Agreement

These Terms of Sale govern all sales of products by Ribodex LLC ("Ribodex," "we," "us") to approved business accounts ("Buyer," "you") through ribo.hair and the RiboHair Business Portal. By placing an order, you accept these Terms. Our Shipping Policy and Terms of Use are part of these Terms. Terms in a Buyer purchase order or similar document do not apply unless we agree in writing.

Eligibility

We sell only to businesses we have approved for an account under our Terms of Use, including approval of your business documents and your signed Non-Exclusive Reseller Agreement. We may approve, decline, suspend or close any account at our discretion. You confirm that you are purchasing for professional business use, not personal use, and that you hold all licenses and permits your state requires for the services you offer. Orders

Each order is an offer to buy. We may accept, limit or decline any order. If a price or product listing contains an error, we may correct it and cancel affected orders with a full refund.

Prices and Payment

Prices are in U.S. dollars as listed in the RiboHair Business Portal at the time of order. Payment is due in full when you place an order, by card or ACH through the RiboHair Business Portal. Credit card payments include a 3% processing fee, shown at checkout before you pay. Debit card and ACH payments do not include a processing fee. Orders ship only after payment clears. You are responsible for applicable taxes unless you provide a valid exemption certificate. Shipping charges are calculated at checkout.

Shipping, Title and Risk of Loss

Shipping is governed by our Shipping Policy. Title and risk of loss pass to you on delivery.

All Sales Final

All sales are final. Cancellations, replacements and refunds are available only as stated in our Shipping Policy or as required by law.

Professional Use

RiboHair™ is a cosmetic product. It is not intended to diagnose, treat, cure or prevent any disease. You agree to:

complete Ribodex training before offering RiboHair services, and use products only as directed in Ribodex protocols and training;

store RiboHair serum at 2°C to 8°C (36°F to 46°F) from delivery until use;

comply with all laws that apply to your business, including scope-of-practice rules in your state;

make no medical, disease or results claims beyond Ribodex-approved materials; and

remain responsible for your services, client consultations, consents and client communications.

Individual results vary. We do not guarantee any particular result. Report any death, serious injury, hospitalization or other potentially serious adverse event to Ribodex within 24 hours, and other material quality or safety complaints within 3 business days, at support@ribo.hair or 800-852-0924.

Limited Warranty

We warrant that RiboHair products will be free from defects and conform to their specifications on delivery, when stored and handled as directed. Your sole remedy for a breach of this warranty is replacement or refund under our Shipping Policy.

Juvasonic® Device

The Juvasonic® device is manufactured by WETHRIVV LLC of New Hope, Pennsylvania ("Juvasonic"). If a Juvasonic® device arrives damaged or defective and you report it within 5 business days of delivery under our Shipping Policy, we will replace it. After that period, any warranty on the device is provided by Juvasonic under its own warranty terms and is passed through to you to the extent permitted. Ribodex does not provide a separate warranty for the device. Submit device warranty claims directly to Juvasonic at hello@juvasonic.com. Juvasonic's return policy applies only to purchases made directly from Juvasonic; devices purchased from Ribodex are subject to Section 6.

Disclaimer

EXCEPT AS STATED IN SECTIONS 8 AND 9, PRODUCTS ARE SOLD "AS IS." RIBODEX DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Resale and Distribution

You may not resell, repackage, relabel or distribute products, including through online marketplaces, except as permitted by your Non-Exclusive Reseller Agreement or other written authorization from Ribodex.

Confidentiality

Portal pricing, protocols and training materials are confidential. You may use them only to operate your RiboHair services.

Trademarks and Marketing Materials

We grant you a limited, revocable license to use the RiboHair™ name and materials we provide, unaltered, to promote your RiboHair services. The license ends when your account closes.

Limitation of Liability

RIBODEX IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. RIBODEX'S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.

Indemnification

You will defend, indemnify and hold Ribodex harmless from claims arising from your services, your use or misuse of products, your client communications, or your violation of these Terms or applicable law.

Governing Law and Disputes

These Terms are governed by Nevada law. Any dispute will be resolved by binding arbitration in Las Vegas, Clark County, Nevada, under the Commercial Arbitration Rules of the American Arbitration Association, on an individual basis. Either party may instead bring an individual claim in small-claims court if the claim qualifies. Either party may seek injunctive relief in court to protect intellectual property or confidential information. Before filing a payment dispute with your card issuer, please contact support@ribo.hair so we can try to resolve the issue.

General

These Terms, with our Shipping Policy, Terms of Use and your Non-Exclusive Reseller Agreement, are the entire agreement for each order. If your Non-Exclusive Reseller Agreement conflicts with these Terms, the Agreement controls. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We are not liable for delays caused by events beyond our reasonable control. We may update these Terms; the version posted when you order applies to that order.
